1. Introduction

Welcome to productphoto.easystudio.ai, owned and operated by EasyStudio. By accessing or using our website and services, you agree to comply with and be bound by the following terms and conditions. These terms outline your rights and responsibilities when using our services. If you do not agree with these terms, please do not use our services.

2. Definitions

• Generated Images: Images created by users through the EasyStudio platform based on their uploaded content and input prompts.
• User Content: Any original content uploaded by users, including images, logos, and other materials.
• Subscription Plans: The different tiers of service offered by EasyStudio, specifically the Starter Plan and Pro Plan.
• Payment Method: The method of payment used for subscription fees, which may include credit cards, debit cards, or other approved payment methods.
• Credits: Units purchased by users that can be used to generate images through the EasyStudio platform. Credits may also include promotional Credits offered by EasyStudio.

3. Credits Policy

3.1 Overview and Management of Credits

Users may purchase Credits (“Credits”) to generate images through the EasyStudio platform. These Credits are crucial for accessing various features of the AI image generation service. Users will receive a monthly allocation of Credits based on their selected package; any unused Credits will expire at the end of each billing cycle. Users cannot transfer, sell, or exchange Credits for cash or other goods and services.

3.2 Usage Restrictions

Credits must only be used for generating images within the EasyStudio platform. Users are prohibited from using Credits for unlawful activities or in violation of these Terms. Any attempt to transfer or sell Credits will render such transactions null and void.

3.3 Redeeming and Modifying Credits

Users can redeem their purchased or promotional Credits directly through the EasyStudio platform to generate images, with each image consuming a specified number of Credits based on its complexity and resolution. EasyStudio reserves the right to modify Credit pricing, packaging, and the number of Credits required for specific tasks at any time without prior notice.

4. Packages and Usage Rights

4.1 Subscription Plans

We offer two subscription packages:

• Starter Plan: Designed for personal use only. Users may generate images for personal projects, hobbies, or non-commercial purposes. Images generated under this plan will include a small watermark. Users are granted a personal use license for any images generated during their subscription; however, they cannot distribute or sell these images commercially. Upgrading from the Starter Plan to the Pro Plan does not retroactively grant commercial rights to images generated while on the Starter Plan.
• Pro Plan: Intended for commercial use. Users may generate images for business purposes, including marketing and sales. Users will own all rights to the generated images outright and can use them without restrictions.

5. Ownership of Content

You retain full ownership of any original content you upload, including images, logos, and other materials.

• Starter Plan: You maintain ownership of your original content but are granted a personal use license for any images generated during your subscription.
• Pro Plan: You will own all rights to the generated images, granting you complete freedom to use them for commercial purposes without restrictions.

6. Internal Use of Generated Images

EasyStudio reserves the right to use generated images for internal purposes only, without distributing or selling them to external parties. Internal purposes may include:

• Research and Development: Improving AI algorithms and enhancing image generation capabilities.
• Quality Control: Ensuring output meets quality standards.
• Training Data: Refining AI models using generated images as part of training datasets.

7. Billing, Renewals, Cancellations, and Refunds

7.1 Billing Cycle

The plan fee for the productphoto.easystudio.ai service and any other charges you may incur in connection with your use of the service (such as taxes and possible transaction fees) will be charged to your selected Payment Method on the calendar day corresponding to the commencement of your subscription’s paying portion. In some cases, your payment date may change if your Payment Method has not successfully settled or if your paid subscription began on a day not contained in a given month. To view your next payment date, log in to your account and click on the “Subscriptions” link.

7.2 Automatic Renewals

Your subscription plan will automatically renew at the end of each billing period unless you cancel it. If you do not cancel before the end of your billing period, your plan will renew automatically for the same duration as the initial term.

7.3 Cancellations

To cancel your subscription, sign in to your account, click on “Subscriptions” under My Account, and follow the cancellation instructions.

7.4 Refund Policy

Payments are generally non-refundable. We do not provide full or pro-rata refunds for unused Credits or partial-month subscription periods. Once a Credit has been used during your subscription, no refund will be issued.

However, if you have not used any Credits, you may request a refund within a grace period after a renewal payment. The grace period is 72 hours (3 days) after payment for monthly plans and 168 hours (7 days) after payment for annual plans. To be eligible for a refund, you must cancel your subscription and contact support@easystudio.ai with your request within this period.

7.5 Cooling-off Rights [for EU Users]

Users located in the EU have the right to cancel their purchase of Credits within 14 days from the date of purchase, referred to as the “Cooling-off Period.” If a user cancels during this period and has not redeemed any Credits, they will receive a full refund of their payment. However, if any Credits have been redeemed for image generation during this period, the user acknowledges that they waive their right to a refund.

8. User Responsibilities

Users agree not to upload any content that infringes on third-party rights or violates applicable laws. You are responsible for ensuring that your User Content is lawful and does not contain any harmful or illegal material.

9. Prohibited Activities

Users agree not to engage in any activities that could harm the platform or its users, including but not limited to:

• Harassment or abusive behavior towards other users.
• Uploading malicious software or engaging in spamming activities.
• Using the service for illegal activities.

10. Data Privacy

Your privacy is important to us. EasyStudio is committed to respecting your privacy regarding any information we may collect from you across our website. We only ask for personal information when we truly need it to provide services to you collecting it by fair and lawful means with your knowledge and consent. 11. Limitation of Liability

EasyStudio is not liable for any damages arising from your use of our services or your inability to access them. This limitation includes, but is not limited to, indirect or consequential damages arising from negligence or other serious breaches of duty by EasyStudio. You agree to indemnify EasyStudio against any claims resulting from your violation of these Terms or misuse of our services. Furthermore, you agree not to use the service for any illegal activities and accept full liability for any images you generate through our platform. EasyStudio shall not be responsible for any legal consequences arising from your generated content.

12. Force Majeure

EasyStudio shall not be liable for any failure to perform its obligations under these Terms if such failure results from any cause beyond its reasonable control. This includes, but is not limited to, acts of God (such as natural disasters), war, terrorism, labour disputes, government actions, or mechanical, electronic, or communications failures that prevent access to the EasyStudio platform.

13. Intellectual Property Rights

All intellectual property rights in the EasyStudio platform, including software, trademarks, designs, content (excluding User Content), and all associated documentation are owned by EasyStudio or its licensors. Users are granted no rights in such intellectual property except as expressly set forth in these Terms.

14. User Account Security

Users are responsible for maintaining the confidentiality of their account credentials (username/password) and are fully responsible for all activities that occur under their account. Users must notify EasyStudio immediately upon becoming aware of any breach of security or unauthorized use of their account.

15. Termination

EasyStudio reserves the right to terminate or suspend access to our services immediately, without prior notice or liability, if you breach these Terms or engage in conduct that we deem inappropriate or harmful.

16. Severability

If any provision in these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms remain in full force and effect.

17. Entire Agreement

These Terms constitute the entire agreement between you and EasyStudio regarding the use of our services and supersede all prior agreements between you and EasyStudio regarding such services.

18. Dispute Resolution

Any disputes arising from these Terms shall be resolved through arbitration in accordance with the applicable laws of Hong Kong. The parties agree that any legal action must be brought in the courts of Hong Kong.

19. Modification Terms

EasyStudio reserves the right to modify these Terms at any time. Any changes will be posted on this page with an updated effective date. Continued use of the service after changes indicates acceptance of the new Terms.

20. Third-Party Links

Our website may contain links to third-party websites that are not owned or controlled by EasyStudio. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of these third-party sites.
